Terms of Service

These Terms of Service govern your access to and use of the Argus AI mobile application, web platform, APIs, ELD integrations, and all related services. Please read these Terms carefully before using our Services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Traffic Data Group, Inc., a Delaware corporation operating under the brand name Argus AI ("Argus AI," "Company," "we," "us," or "our"). These Terms govern your access to and use of our mobile application, web platform located at getargus.ai, application programming interfaces (APIs), electronic logging device (ELD) integrations, and all related services (collectively, the "Services").

By downloading, installing, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, you must immediately cease all use of the Services and delete any installed applications.

If you are accessing the Services on behalf of a business entity, fleet, or organization, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Services or via the email associated with your account. Your continued use of the Services following notification of changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.


2. Description of Services

Argus AI provides commercial vehicle navigation, route optimization, and driver alert services designed for operators of semi-trucks and other commercial motor vehicles. The Services include:

2.1 Standalone Navigation Application

A mobile navigation application that provides truck-specific routing, turn-by-turn directions, and real-time alerts optimized for commercial vehicles.

2.2 Navigation Alerts

A suite of proactive alerts designed to improve navigation safety, fuel efficiency, and regulatory compliance. These alerts may address factors including but not limited to bridge clearances, weight-restricted routes, hazardous materials routing restrictions, fuel optimization opportunities, and road condition notifications.

2.3 Web Platform

The getargus.ai website and associated web-based tools, dashboards, and account management features.

2.4 ELD and Telematics Integrations

Integrations with third-party electronic logging device and fleet management platforms including but not limited to GeoTab, Platform Science, Samsara, Trimble, and Motive (each, an "Integration Partner"). These integrations allow Argus AI alerts and features to operate within existing fleet management ecosystems.

2.5 Fleet Accounts

The Services may be accessed through fleet accounts that allow a fleet owner, manager, or authorized administrator ("Fleet Administrator") to manage multiple drivers and vehicles under a single organizational account ("Fleet Account"). Fleet Accounts provide centralized management of driver access, vehicle profiles, routing preferences, and reporting.

2.6 Free and Premium Tiers

The Services are offered on a freemium basis. Certain features are available at no cost, while additional features, capabilities, and data access require a paid subscription ("Premium Services"). Premium Services may be purchased on an individual or fleet basis.


3. Account Registration and Security

3.1 Account Creation

To access certain features of the Services, you must create an account and provide accurate, current, and complete information including your name, email address, and vehicle specifications. You agree to update this information promptly if it changes.

3.2 Vehicle Information

You are solely responsible for entering and maintaining accurate vehicle specifications within the Services, including but not limited to vehicle height, width, length, weight (including loaded weight), number of axles, and hazardous materials classification. Inaccurate vehicle information may result in inappropriate routing, and Argus AI bears no responsibility for navigation errors resulting from inaccurate, incomplete, or outdated vehicle specifications provided by you.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. You are liable for all activity conducted through your account, whether or not authorized by you.

3.4 Fleet Accounts

A Fleet Administrator may create and manage a Fleet Account and invite or add individual drivers ("Fleet Users") to operate under that account. The Fleet Administrator represents and warrants that they have authority to bind the fleet organization to these Terms and is responsible for: (a) ensuring all Fleet Users comply with these Terms; (b) maintaining accurate vehicle specifications for all vehicles in the fleet; (c) managing Fleet User access and permissions; and (d) all activity conducted under the Fleet Account, including activity by Fleet Users. The Fleet Administrator may designate additional administrators, but remains primarily responsible for the Fleet Account. Each Fleet User must maintain their own individual login credentials and may not share credentials with other users.

3.5 Fleet User Responsibilities

Fleet Users accessing the Services through a Fleet Account are individually bound by these Terms. Both the Fleet User and the Fleet Administrator are responsible for ensuring that vehicle specifications, hazmat classifications, and other parameters entered by Fleet Users are accurate and current.

3.6 One Account Per User

Each individual user may maintain only one personal account. Fleet Users may have access through a Fleet Account in addition to a personal account, but may not maintain multiple personal accounts. We reserve the right to suspend or terminate duplicate accounts.


4. Subscription, Payment, and Billing

4.1 Free Tier

Certain features of the Services are available to all registered users at no charge. Argus AI reserves the right to modify the scope of free features at any time.

4.2 Premium Subscriptions

Premium Services are available on a recurring subscription basis at the rates published on our website or within the application at the time of purchase. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected.

4.3 Fleet Subscriptions

Fleet Accounts may be billed on a per-vehicle, per-driver, or per-seat basis as specified in the applicable fleet pricing plan or separate fleet agreement. The Fleet Administrator is responsible for all fees incurred under the Fleet Account, including fees attributable to Fleet Users. Adding vehicles or Fleet Users to a Fleet Account may result in prorated charges for the current billing period. Removing vehicles or Fleet Users does not entitle the Fleet Administrator to a refund for the current billing period.

4.4 Automatic Renewal

Your Premium subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You authorize us to charge the payment method on file for each renewal period.

4.5 Price Changes

We may change subscription pricing at any time. Price changes will take effect at the start of your next billing period following notice of the change. Your continued use of Premium Services after a price change constitutes acceptance of the new pricing.

4.6 Cancellation

You may cancel your Premium subscription at any time through your account settings or by contacting us at info@getargus.ai. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial billing periods.

4.7 Refunds

All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms.

4.8 Taxes

You are responsible for all applicable taxes, duties, and levies associated with your subscription, excluding taxes based on Argus AI's net income.


5. User Responsibilities and Conduct

5.1 Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances when using the Services, including without limitation all applicable Department of Transportation (DOT) regulations, Federal Motor Carrier Safety Administration (FMCSA) rules, state and local traffic laws, hazardous materials transportation regulations (49 CFR), and bridge and weight restriction laws.

5.2 Professional Judgment

You acknowledge that the Services are navigation aids and information tools only. You must exercise your own independent professional judgment when operating a commercial vehicle. You are solely responsible for all driving decisions, route selections, and compliance with applicable regulations regardless of information provided by the Services.

5.3 Pre-Trip Verification

You are responsible for independently verifying route suitability before and during each trip, including but not limited to confirming bridge clearances, weight restrictions, height restrictions, hazardous materials route designations, road conditions, construction zones, and any temporary or permanent restrictions that may affect your route.

5.4 Vehicle Parameter Accuracy

You are solely responsible for the correctness of all vehicle parameters entered into the Services, including but not limited to height, weight, width, length, axle count, axle weight distribution, trailer configuration, and hazardous materials classification. Argus AI shall not be liable in any manner for routing decisions based on vehicle parameters provided by you, and you bear full responsibility for the accuracy and currency of such inputs.

5.5 Distracted Driving

You agree not to interact with the Services in any manner that constitutes distracted driving or that violates applicable laws regarding the use of electronic devices while operating a motor vehicle. You should configure the Services before beginning to drive and use voice-guided navigation while the vehicle is in motion.

5.6 Prohibited Uses

You agree not to:

  • Use the Services for any unlawful purpose
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Attempt to gain unauthorized access to the Services or related systems
  • Use the Services to develop competing products or services
  • Sublicense, resell, or redistribute the Services
  • Use automated means to access the Services except through approved APIs
  • Transmit malware or other harmful code through the Services
  • Interfere with or disrupt the integrity or performance of the Services

7. User-Generated Content

7.1 User Submissions

The Services may allow you to submit content including road condition reports, fuel price information, parking availability reports, reviews, ratings, and other user-generated content ("User Content"). You retain ownership of your User Content, but by submitting User Content, you grant Argus AI a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, display, and create derivative works from your User Content in connection with operating and improving the Services.

7.2 Accuracy of User Content

You represent and warrant that any User Content you submit is accurate to the best of your knowledge at the time of submission. You agree not to submit intentionally false, misleading, or malicious content.

7.3 No Endorsement

Argus AI does not endorse, verify, or guarantee the accuracy of any User Content. Other users' reports, reviews, ratings, and submissions are provided for informational purposes only and should not be relied upon as the sole basis for driving decisions.

7.4 Content Moderation

We reserve the right to review, moderate, edit, or remove any User Content at our sole discretion, without notice or liability.

7.5 Prohibited Content

You agree not to submit User Content that:

  • Is false, misleading, or deceptive
  • Is defamatory, obscene, or offensive
  • Infringes any third-party intellectual property rights
  • Contains personal information of third parties without consent
  • Constitutes spam or commercial solicitation
  • Violates any applicable law or regulation

8. Third-Party Services and Integrations

8.1 Integration Partners

The Services may integrate with third-party platforms including but not limited to GeoTab, Platform Science, Samsara, Trimble, and Motive. Your use of any Integration Partner's platform is governed by that partner's own terms of service and privacy policy, which you are responsible for reviewing and accepting independently.

8.2 Third-Party Data

The Services incorporate data from third-party sources including map data providers, government databases, and telematics platforms. Argus AI does not control, endorse, or guarantee the accuracy of third-party data. Your use of the Services does not create any relationship between you and any third-party data provider.

8.3 Third-Party Links

The Services may contain links to third-party websites or services. Argus AI is not responsible for the content, privacy practices, or availability of any third-party sites or services.

8.4 No Joint Liability

Integration with a third-party platform does not create any agency, partnership, or joint venture between Argus AI and any Integration Partner. Argus AI is not liable for acts, omissions, errors, or failures of any Integration Partner or third-party service.


9. Intellectual Property

9.1 Argus AI Ownership

The Services, including all software, algorithms, interfaces, content, trademarks, trade names, logos, and documentation, are owned by or licensed to Argus AI and are protected by intellectual property laws. These Terms grant you no ownership interest in the Services.

9.2 Limited License

Subject to your compliance with these Terms, Argus AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

9.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant Argus AI an unrestricted, irrevocable, royalty-free license to use, modify, and incorporate such Feedback without any obligation to you.


10. Privacy and Data Collection

10.1 Privacy Policy

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.

10.2 Data Collection

In order to provide the Services, we collect and process data including but not limited to:

  • Account information (name, email, payment information)
  • Vehicle specifications (dimensions, weight, axle configuration, hazmat classification)
  • GPS location data and trip history
  • ELD and telematics data (when integrated with third-party platforms)
  • Driving behavior data
  • Fuel consumption data
  • User-generated content and reports
  • Device information and usage analytics

10.3 Location Data

The Services require access to your device's location services to function. You consent to the collection and processing of your real-time and historical location data as described in the Privacy Policy. You may disable location services at any time through your device settings, but doing so will impair or prevent the functionality of the Services.

10.4 Telematics Data

When you connect the Services to an ELD or fleet management platform, you consent to the collection and processing of telematics data from that platform, including vehicle performance data, hours of service data, and driver behavior data.


11. Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARGUS AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, OR AVAILABILITY OF THE SERVICES, INCLUDING ALL NAVIGATION DATA, ROUTING INFORMATION, BRIDGE CLEARANCE DATA, WEIGHT RESTRICTION DATA, HAZARDOUS MATERIALS ROUTING INFORMATION, AND ANY OTHER DATA PROVIDED THROUGH THE SERVICES;
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES, INCLUDING USER-GENERATED CONTENT, THIRD-PARTY DATA, AND INTEGRATION PARTNER DATA; AND
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

YOU ACKNOWLEDGE THAT ROAD CONDITIONS, BRIDGE CLEARANCES, WEIGHT RESTRICTIONS, HAZARDOUS MATERIALS ROUTING DESIGNATIONS, AND OTHER INFRASTRUCTURE AND REGULATORY DATA ARE SUBJECT TO CONSTANT CHANGE AND THAT NO NAVIGATION SYSTEM CAN GUARANTEE REAL-TIME ACCURACY. YOU USE THE SERVICES AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.


12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARGUS AI, ITS OFFICERS, DIRECTORS, STOCKHOLDERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • DAMAGES ARISING FROM OR RELATED TO NAVIGATION ERRORS, ROUTING INACCURACIES, OR INCORRECT DATA, INCLUDING BUT NOT LIMITED TO BRIDGE STRIKES, OVERWEIGHT VIOLATIONS, HEIGHT CLEARANCE INCIDENTS, HAZMAT ROUTING VIOLATIONS, VEHICLE DAMAGE, CARGO DAMAGE, PROPERTY DAMAGE, INFRASTRUCTURE DAMAGE, OR PERSONAL INJURY;
  • FINES, PENALTIES, CITATIONS, OR ENFORCEMENT ACTIONS RESULTING FROM RELIANCE ON INFORMATION PROVIDED BY THE SERVICES;
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
  • COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  • LOSS OR DAMAGE ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; OR
  • ANY OTHER PECUNIARY LOSS,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ARGUS AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARGUS AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO ARGUS AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).

12.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND ARGUS AI, AND THAT THE SERVICES WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS.

12.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.


13. Indemnification

You agree to defend, indemnify, and hold harmless Argus AI, its affiliates, officers, directors, stockholders, employees, agents, licensors, and service providers from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Your failure to independently verify route suitability, bridge clearances, weight restrictions, hazardous materials routing requirements, or other conditions
  • Inaccurate vehicle specifications or hazmat classifications provided by you
  • Any damage to infrastructure, property, vehicles, or cargo resulting from your use of the Services
  • Your User Content
  • Your negligence or willful misconduct

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at info@getargus.ai and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved without formal proceedings.

14.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Argus AI agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Argus AI (collectively, "Disputes") shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, rather than in court.

THE FEDERAL ARBITRATION ACT ("FAA"), 9 U.S.C. §§ 1-16, GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS ARBITRATION PROVISION, AND NOT STATE LAW.

14.3 Arbitration Procedures

The arbitration shall be conducted by a single arbitrator. The arbitration shall be held in Douglas County, Nebraska, or at another mutually agreed location, or via telephone or video conference if agreed by the parties. The arbitrator shall apply Delaware law consistent with the FAA and applicable statutes of limitations. The arbitrator may award any relief that would be available in court, subject to the limitations in these Terms. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Arbitration Fees

If your claim is for $10,000 or less, Argus AI will pay all arbitration filing fees and arbitrator compensation. For claims exceeding $10,000, fees and costs shall be allocated in accordance with AAA rules. Each party shall bear its own attorneys' fees unless the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose.

14.5 Opt-Out Right

You may opt out of this arbitration provision by sending written notice to info@getargus.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and Argus AI agree to submit to the exclusive jurisdiction of the courts described in Section 15.

PURSUANT TO NEBRASKA REVISED STATUTE § 25-2602.01, THE FOLLOWING NOTICE IS PROVIDED:

BY AGREEING TO THESE TERMS, YOU ARE AGREEING TO HAVE ANY DISPUTE ARISING OUT OF THE MATTERS INCLUDED IN THIS ARBITRATION PROVISION DECIDED BY NEUTRAL ARBITRATION, AND YOU ARE GIVING UP ANY RIGHTS YOU MIGHT POSSESS TO HAVE THE DISPUTE LITIGATED IN A COURT OR JURY TRIAL. YOU ARE GIVING UP YOUR JUDICIAL RIGHTS TO DISCOVERY AND APPEAL UNLESS SUCH RIGHTS ARE SPECIFICALLY INCLUDED IN THIS ARBITRATION PROVISION. IF YOU REFUSE TO SUBMIT TO ARBITRATION AFTER AGREEING TO THIS PROVISION, YOU MAY BE COMPELLED TO ARBITRATE. YOUR AGREEMENT TO THIS ARBITRATION PROVISION IS VOLUNTARY.


15. Class Action and Jury Trial Waiver

15.1 Class Action Waiver

YOU AND ARGUS AI AGREE THAT ALL DISPUTES MUST BE BROUGHT AND RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU AND ARGUS AI EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS-WIDE ARBITRATION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING OF ANY KIND.

The arbitrator may not consolidate more than one person's claims, and may not preside over any form of class, collective, or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of Section 14 (Binding Arbitration) shall be null and void, but the remainder of these Terms shall remain in effect.

15.2 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ARGUS AI EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.


16. Governing Law and Jurisdiction

16.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.

16.2 Jurisdiction

For any disputes not subject to arbitration (including disputes where you have validly opted out of arbitration), you and Argus AI consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware. You waive any objection to jurisdiction or venue in such courts.


17. Termination

17.1 Termination by You

You may terminate your account and stop using the Services at any time by deleting your account through the application settings or contacting us at info@getargus.ai.

17.2 Termination by Argus AI

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including but not limited to situations where you violate these Terms.

17.3 Effect of Termination

Upon termination:

  • Your license to use the Services immediately ceases
  • You must delete all copies of the application from your devices
  • Any outstanding fees owed by you become immediately due
  • Sections 6, 7.1, 9, 11, 12, 13, 14, 15, 16, and 19 shall survive termination

18. Electronic Communications and Notices

By creating an account, you consent to receive electronic communications from Argus AI, including emails, push notifications, and in-app messages. These communications may include service announcements, administrative messages, promotional offers, and legal notices. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.


19. General Provisions

19.1 Entire Agreement

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Argus AI.

19.8 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations in your use of the Services.
